Specific deliverables, timelines, and scope are defined at the point of order or in a separately agreed service brief. We reserve the right to modify, suspend, or discontinue any service with reasonable notice.
Our services are provided exclusively for resale by agencies and marketing professionals. By ordering, you agree to the following white-label terms:
Non-disclosure: You agree not to disclose Online Crib Co. as the fulfillment provider to your clients without our prior written consent
Agency responsibility: You are solely responsible for your client relationships, pricing, and all communications with your end clients. We are not party to those agreements
Accurate information: You are responsible for ensuring all client information provided to us (NAP data, GBP access, brand kits) is accurate and properly authorised
No direct solicitation: We will not directly contact, market to, or solicit your clients during or after our engagement with your agency
Permitted use only: Services may not be resold for purposes that violate Google's terms of service, any applicable laws, or ethical SEO practices
Payment
All services are prepaid unless a separate written agreement states otherwise
Prices are listed in USD. We are not responsible for currency conversion fees charged by your bank or payment provider
Recurring plans are billed on the agreed cycle. It is your responsibility to cancel before the next billing date if you wish to discontinue
Refund Policy
Eligible for refund: Orders cancelled before production has begun may receive a full refund at our discretion
Quality issues: If a delivered campaign contains verifiable errors on our part, we will correct them at no cost. Partial credit may be issued where correction is not feasible
Not eligible: Refunds are not issued for completed and delivered campaigns where the brief was fulfilled as submitted, change-of-mind cancellations, or delays caused by incomplete or inaccurate information from the agency
Ranking outcomes: We do not guarantee specific search engine rankings or map pack positions. Refunds are not issued on the basis of ranking performance
Refund requests must be submitted to info@onlinecribinc.com within 14 days of delivery.
Deliverables
Upon full payment, all deliverables produced for your order (reports, copy, designs) become your property for use in your agency's client work. You may not resell our proprietary processes, templates, or internal systems.
Our Website & Brand
All content on onlinecribinc.com — including text, graphics, logos, and page designs — is the intellectual property of Online Crib Co. and may not be reproduced without written permission.
Your Content
You retain ownership of all brand materials, client data, and content you provide to us. By submitting materials, you grant us a limited licence to use them solely for the purpose of fulfilling your order.
To the maximum extent permitted by law, Online Crib Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, loss of data, loss of clients, or loss of business opportunity — arising from your use of our services.
Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim
We are not liable for third-party directory policies, Google algorithm changes, listing removals by external platforms, or outcomes beyond our direct control
We do not warrant that citation building, managed monitoring, or GBP posting will result in specific ranking improvements or business outcomes
You are responsible for ensuring that the use of our services complies with the laws of your jurisdiction and the agreements you hold with your own clients
By You
You may stop using our services at any time. For recurring plans, cancellation must be submitted before the next billing cycle to avoid charges. No refund is issued for the current billing period.
By Us
We reserve the right to suspend or terminate access to our services at any time if you violate these Terms, engage in fraudulent activity, submit inaccurate client data, or use our services in a manner that could damage our reputation or operations. We will provide reasonable notice where possible.
Effect of Termination
Upon termination, your access to our platform and any in-progress orders will cease. Provisions relating to intellectual property, limitation of liability, and payment obligations survive termination.
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
Any disputes arising from these terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the appropriate courts in the Philippines.
International agencies acknowledge that by using our services, they agree to this governing law clause regardless of their country of operation.
